2. Services
We deliver customized marketing services as agreed in each Service Agreement or Proposal. The scope, deliverables, timelines, and fees will be set out in individual proposals, invoices, or project documents. All services are provided subject to these Terms.
3. Quotes, Payment & Billing
- Quoted prices are valid for the period specified in the proposal. Unless stated otherwise, quotes do not include applicable taxes.
- Payments must be made per the payment schedule in the Service Agreement. Late payments may incur interest or suspend services.
- We reserve the right to pause or stop work if invoices are not paid according to agreed terms.
4. Changes, Cancellations & Refunds
Any change requests that alter scope, timeline, or costs must be agreed in writing. Cancellation policies will be stated in your specific project agreement. Fees paid for completed work or for work-in-progress are generally non-refundable unless otherwise agreed in writing.
5. Client Responsibilities
Clients must provide timely access to information, materials, approvals and any third-party assets required for project delivery. Delays caused by the client may extend timelines and incur additional charges.
6. Intellectual Property
Unless otherwise agreed in writing, Sparkup Marketing retains ownership of all pre-existing IP and any materials, templates or methodologies used to deliver services. Upon full payment for a project, clients will receive a license to use deliverables for the intended purpose. Sparkup Marketing may use non-confidential deliverables for portfolio and promotional purposes unless a separate non-disclosure agreement is in place.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the business relationship. Confidential information does not include information which is or becomes public through no fault of the receiving party.
8. Warranties & Disclaimers
We aim to deliver high-quality services but do not guarantee specific business results (such as exact sales or leads). All services are provided “as is” and Sparkup Marketing disclaims, to the maximum extent permitted by law, all warranties not expressly stated in writing.
9. Limitation of Liability
To the fullest extent permitted by law, Sparkup Marketing’s liability for any claim arising out of or connected with the services is limited to direct damages not exceeding the total amount paid by you to Sparkup Marketing under the relevant agreement in the preceding 12 months. We are not liable for indirect, incidental, consequential, or punitive damages.
10. Third-Party Links & Tools
We may use third-party platforms or tools (e.g., social media ad platforms, email providers). You agree that Sparkup Marketing is not responsible for the policies, actions, or technical failures of such third parties.
11. Termination
Either party may terminate the service agreement per the termination terms in the project contract. Upon termination, outstanding fees and costs for services rendered up to termination remain payable.
12. Governing Law & Dispute Resolution
These Terms will be governed by the laws of India. Any dispute should first be attempted to be resolved amicably through negotiation. If unresolved, disputes will be subject to the jurisdiction of courts in the applicable city where Sparkup Marketing operates.
13. Changes to Terms
We may update these Terms from time to time. Updated Terms will be effective from the “Effective date” published on this page. Continued use of our services constitutes acceptance of updated Terms.
